Terms & Conditions

By accessing or using the Sparkit platform, website, or mobile application (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and SPVRKD AG ("Sparkit," "we," "us," or "our"), registered in Switzerland (CHE-260.912.934), Baarerstrasse 78, 6300 Zug, Switzerland.

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement.

If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and current information during registration. Notify us immediately at support@sparkit.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms.

Sparkit provides an AI-powered fashion infrastructure platform including design tools, AI agent assistance, factory sourcing, material sourcing, production coordination, and e-commerce capabilities.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Features described in our marketing may be in beta or subject to eligibility. We will communicate beta status clearly.

Certain features require a paid subscription. Pricing is set out on our pricing page and may change with 30 days notice.

All payments are processed securely through Stripe. By providing payment details, you authorise us to charge applicable fees.

Subscriptions renew automatically unless cancelled before the renewal date. Refunds are governed by our Refund Policy.

We reserve the right to suspend access for non-payment after a 7-day grace period.

Sparkit and its licensors retain all rights to the platform, software, AI models, and associated content.

Designs, tech packs, and creative outputs generated using the Service belong to you, subject to your subscription tier and applicable usage rights.

You grant Sparkit a limited licence to process and store your content solely to deliver the Service.

You must not reverse-engineer, copy, or redistribute any part of the platform.

You agree not to use the Service to: infringe third-party intellectual property rights; upload harmful, illegal, or offensive content; attempt to gain unauthorised access to our systems; engage in fraudulent activity; or violate any applicable law.

We may remove content or suspend accounts that violate this policy without prior notice.

Sparkit facilitates connections between creators and third-party factories and suppliers. We do not guarantee factory output quality, delivery timelines, or pricing beyond what is explicitly agreed in a production order.

Production disputes are subject to our Production Dispute Resolution process, available through the platform.

To the maximum extent permitted by law, Sparkit shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service.

Our total liability for any claim shall not exceed the fees paid by you to Sparkit in the 12 months preceding the claim.

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

AI-generated outputs (designs, tech packs, suggestions) are provided as a starting point and should be reviewed by you before submission to any factory.

These Terms are governed by the laws of Switzerland. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Zug, Switzerland.

We encourage you to contact support@sparkit.com to resolve disputes informally before initiating legal proceedings.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
